Terms and Conditions – Swipe n Charge

Welcome to Swipe n Charge. These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and any related products (collectively, the “Services”). By accessing or using our Services, you agree to comply with these Terms. Please read them carefully, as they establish the legal rights and obligations between you (“you,” “your,” “user,” “merchant”) and Swipe n Charge (“we,” “our,” “us,” “the Company”).

If you do not agree with these Terms, you may not use our Services.

1. Eligibility

  • You must be at least 18 years of age to use our Services.

  • You must provide accurate and complete information during registration and agree to keep it updated.

  • If you are using our Services on behalf of a business or legal entity, you represent that you are authorized to bind that entity to these Terms.

2. Services Provided

Swipe n Charge provides services including, but not limited to:

  • Merchant account setup and onboarding,

  • Payment processing consulting,

  • Risk and chargeback management,

  • Cost reduction and optimization strategies,

  • Technical support and integrations with third-party payment processors.

We act as a facilitator and consultant and do not directly issue merchant accounts or act as a bank. Final approval for merchant accounts is subject to the policies of the acquiring bank or processor.

3. User Obligations

By using our Services, you agree to:

  1. Provide truthful, accurate, and current information.

  2. Use the Services only for lawful business purposes.

  3. Maintain the security of your account login credentials.

  4. Comply with all applicable laws, regulations, and card network rules.

  5. Notify us immediately of unauthorized use of your account or suspected security breaches.

You must not use our Services for any activities involving illegal products, money laundering, fraud, or high-risk industries prohibited by card networks or banks.

4. Fees & Payments

  • Some of our Services may be offered free of charge, while others require fees.

  • Fees will be disclosed in writing before you agree to use paid Services.

  • By engaging our Services, you authorize Swipe n Charge to invoice you or charge you in accordance with the agreed payment terms.

  • You are responsible for all taxes, duties, and regulatory fees associated with the Services.

5. Intellectual Property

  • All website content, logos, trademarks, text, graphics, designs, and software are the property of Swipe n Charge or its licensors.

  • You are granted a limited, non-exclusive, non-transferable license to access and use our Services solely for your internal business purposes.

  • You may not copy, modify, distribute, reverse engineer, or exploit our intellectual property without prior written consent.

6. Data Protection & Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data. By using our Services, you consent to the collection and use of your information as described in the Privacy Policy.

7. Third-Party Services

Our Services may integrate with or provide access to third-party providers (e.g., payment processors, banks, KYC/AML vendors).

  • We are not responsible for the policies, practices, or performance of these third parties.

  • Use of third-party services may be subject to their own terms and conditions.

8. Disclaimer of Warranties

The Services are provided on an “as-is” and “as-available” basis. We make no warranties or representations, express or implied, including but not limited to:

  • Accuracy, reliability, or availability of the Services,

  • Suitability of Services for your specific business,

  • Error-free or uninterrupted operation.

Swipe n Charge disclaims all liability for damages resulting from reliance on the Services.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Swipe n Charge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or data.

  • Our total liability to you, for any claim arising from the Services, shall not exceed the total fees paid by you to Swipe n Charge in the six (6) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Swipe n Charge, its officers, employees, agents, and affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Services,

  •  

  • Your violation of these Terms,

  • Your violation of applicable laws or third-party rights.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, including but not limited to:

  • Violation of these Terms,

  • Fraudulent or illegal activity,

  • Non-payment of fees.

You may stop using our Services at any time. Termination does not relieve you of outstanding payment obligations.

12. Governing Law & Dispute Resolution

  • These Terms shall be governed by the laws of City of Sheridan, Sheridan County, State of Wyoming, United States of America, without regard to conflict of law principles.

  • Any dispute shall first be attempted to be resolved through good-faith negotiations.

  • If not resolved, disputes shall be submitted to binding arbitration or competent courts in the governing jurisdiction.

13. Changes to Terms

We reserve the right to update or modify these Terms at any time. Updated Terms will be posted on our website with the “Effective Date” revised. Continued use of our Services after changes constitutes acceptance of the updated Terms.
